Product Legal Counsel

About the role

Spiko, a fintech founded in 2023 offering institutional-grade cash management to businesses, non-profits, financial advisers and fintechs, is hiring a Product Legal Counsel. You will own the legal and regulatory work behind Spiko Embedded, a product that lets partner fintechs offer yield on client money through its API. You will report to the Head of Legal & Compliance and work closely with the Head of Spiko Embedded, Embedded Sales, Partnership and Product teams.

Key responsibilities

• Draft, review and negotiate the partnership agreements for Spiko Embedded, including distribution agreements, SLAs, data and marketing appendices and partner-specific terms
• Structure each partnership against the applicable regulatory model and turn it into contract and product requirements
• Engage with Product and Engineering early so partner needs and regulatory constraints shape the product build
• Act as legal counterpart to partners' legal and compliance teams during negotiation and onboarding
• Lead the legal review and structuring of new products and features, working with Product and Engineering from early design through launch
• Proactively engage EU and UK regulators so new products comply with financial regulation (MiFID, PSD2/EMD2, DORA), working with Regulatory Counsel on licensing or passporting
• In partnership with Compliance, handle product regulatory compliance: operational procedures, product terms and conditions, and review of product-related marketing or technical content
• Maintain registers, audit counterparties and partners, and support regulatory reporting tied to product activity

Required profile

• Graduated from a law university or business school, ideally with a degree in banking and financial law
• At least 5 years of experience as product/commercial legal counsel in a fintech or banking/financial institution, or in the financial services or technology practice of a law firm
• Track record of leading complex B2B contractual negotiations between fintechs or financial institutions
• Highly ambitious, eager to be one of the first members of a legal team
• Professional proficiency in English; a second European language is a plus

Required skills

• Strong knowledge of MiFID/MiFIR, and secondarily PSD2/EMD2, MiCA and DORA
• Nice to have: engagement with EU financial regulators, UCITS/AIFMD, DORA and GDPR, IP and tech transactions, and experience in a fast-growing fintech start-up
