Corporate Legal Counsel

About the role

The Corporate Legal Team at Criteo is looking for a Corporate Legal Counsel to support a wide range of legal, transactional, compliance and administrative matters across its global subsidiaries. The role requires independent operation in a fast‑paced international environment and close partnership with cross‑functional teams.

Key responsibilities

• Project‑manage corporate legal matters for international subsidiaries, including governance, entity formation/dissolution, board and shareholder meetings, annual report tracking, and financial approvals.
• Maintain subsidiary corporate minute books and oversee powers of attorney, notarizations, apostilles, and other certified documents.
• Draft worldwide corporate structure charts and global subsidiary lists.
• Manage records and databases for international subsidiaries and respond to day‑to‑day inquiries.
• Support Tax and Treasury departments on transactions involving international subsidiaries.
• Coordinate executive and subsidiary director signatures on corporate documents.
• Engage and supervise outside counsel and entity‑management platforms, handling fee structures and internal billing.
• Conduct legal research and provide updates.

Required profile

• 3‑4 years of corporate legal experience, preferably both at a major law firm and in‑house with a multinational.
• Strong background in corporate governance and legal entity management.
• Ability to work independently, make decisions, and collaborate across teams.
• Excellent interpersonal, written and oral communication skills in English (French a plus).
• Team‑oriented attitude with a sense of humor.
