Legal Counsel – Software Licensing & Commercial Transactions

About the role

IFS Softeon is seeking an experienced attorney to act as the primary legal advisor for its business unit during a critical integration phase. The role combines commercial contract work, corporate governance, M&A integration and dispute management, with a focus on preserving corporate separateness and mitigating legacy contract risk.

Key responsibilities

• Lead all commercial transactions, drafting and negotiating software license, consulting, SaaS and other commercial agreements.
• Provide timely legal advice to Sales, Services, Finance, Marketing and Partner teams, participating in business operations calls.
• Develop and improve legal processes, standard contract terms and scalable legal infrastructure for the unit.
• Manage corporate governance matters, ensuring proper entity formalities, audit support, tax/treasury, HR/employment and real‑estate issues.
• Oversee dispute management and support M&A integration activities.

Required profile

• Qualified attorney with several years of experience in commercial and technology law.
• Proven ability to handle high‑value contracts and complex corporate governance matters.
• Strong collaborative mindset and ability to advise senior executives.
• Experience working in fast‑moving, international software or SaaS environments.

Required skills

• Drafting and negotiating software license, SaaS and consulting agreements.
• Understanding of corporate governance, entity management and compliance.
• Knowledge of M&A integration and dispute resolution processes.
