Corporate Legal Counsel

About the role

Alan is a vertically integrated health partner that combines insurance and smart healthcare delivery. As a senior Corporate Legal Counsel you will lead the legal structuring of new business lines, international expansion and high‑impact transactions, ensuring that the company’s growth is both compliant and business‑enabling.

Key responsibilities

• Define regulatory pathways and legal structures for strategic launches, including insurance subsidiaries and new health services.
• Lead M&A transactions from LOI to closing: draft and negotiate agreements, conduct due diligence, resolve deal‑breaking issues and deliver closed deals.
• Design and implement multi‑jurisdictional equity programs, ensuring compliance across France, Spain, Belgium, Canada and other markets.
• Manage corporate governance matters: draft board resolutions, corporate documentation, oversee share transfers, capital transactions and secondary transaction frameworks.
• Build internal legal frameworks, templates and decision‑making guidelines to reduce reliance on external counsel and increase legal autonomy.

Required profile

• Senior‑level lawyer with extensive experience in corporate law, M&A and regulatory compliance.
• Proven ability to work across multiple jurisdictions and industries, particularly health tech and insurance.
• Strong commercial mindset, capable of aligning legal solutions with business objectives.
• Excellent judgment on legal risk and the ability to decide when to involve external counsel.
